Terms of Service

Effective date: June 3, 2026

These Terms of Service (“Terms”) govern your access to and use of the Wehanda platform at https://wehanda.comand related mobile and web applications (collectively, the “Service”), operated by Sumiland & Sub Studio LLC(“Wehanda,” “we,” “us,” or “our”).

By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Your use of the Service is also governed by our Privacy Policy.

1. Who These Terms Cover

These Terms apply to two groups of people:

  • Restaurant operators — businesses and individuals who sign up to use the Wehanda platform to manage their restaurant.
  • Restaurant customers — individuals who place orders, join loyalty programs, or otherwise interact with a Wehanda-powered ordering page.

If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” refers to that business.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@simplidone.com if you suspect unauthorized use. You agree to provide accurate, current, and complete information and to keep it up to date.

3. The Service

Wehanda provides restaurant operators with tools to manage online ordering, menus, reservations, customer relationships, loyalty programs, AI-assisted marketing, and related operations. Features available to you depend on your subscription plan. We may add, change, or remove features over time.

4. Subscriptions, Billing & Trials

A. Plans and free trial

Paid plans are billed on a recurring basis. We may offer a free trial period. At the end of the trial, your subscription automatically converts to a paid plan unless you cancel before the trial ends.

B. Payment processing

Platform subscription billing is processed by Square. By subscribing, you authorize us and Square to charge your payment method on a recurring basis until you cancel. Card data is handled by Square and is never stored on our servers.

C. Auto-renewal and cancellation

Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends.

D. Refunds and price changes

Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods. We may change subscription prices; we will give you reasonable advance notice, and changes take effect at your next renewal.

E. Taxes

Fees are exclusive of taxes. You are responsible for any applicable sales, use, or similar taxes, other than taxes based on our net income.

5. Restaurant Operator Responsibilities

If you operate a restaurant on the Service, you are solely responsible for:

  • The accuracy of your menu, pricing, hours, tax settings, and other configuration.
  • Fulfilling orders placed through your storefront and honoring your loyalty and promotion terms.
  • Complying with all laws applicable to your business, including food safety, labeling, alcohol, consumer protection, and tax laws.
  • Your own handling of customer personal data you receive through the Service, consistent with our Privacy Policy and applicable law.
  • Obtaining valid consent before sending marketing communications to your customers.

6. Customer Payments

When a restaurant connects Stripe to accept customer payments, those payments are processed by Stripe and are subject to Stripe’s terms. Wehanda is not a party to the transaction between a restaurant and its customer, does not receive raw card data, and is not responsible for the goods or services a restaurant provides. Disputes about an order are between the customer and the restaurant.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose.
  • Upload content that is illegal, infringing, defamatory, or harmful, or that you do not have the right to use.
  • Send spam or marketing messages to recipients who have not consented.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe, scan, or test the vulnerability of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, scrape, or resell the Service except as permitted by law.

8. Content & Intellectual Property

A. Your content

You retain ownership of the content you submit to the Service (menus, photos, business information, and customer data you control). You grant us a worldwide, non-exclusive license to host, process, and display that content solely to operate and improve the Service.

B. Our content

The Service, including its software, design, and trademarks, is owned by Sumiland & Sub Studio LLC and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding except as needed to use the Service.

C. AI-generated content

Some features generate marketing copy, suggestions, and other content using artificial intelligence. AI output may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before relying on it or sending it to your customers.

9. Third-Party Services

The Service integrates with third-party providers such as Square, Stripe, Supabase, Vercel, Resend, Anthropic, and Google. Your use of those integrations may be subject to the third party’s own terms, and we are not responsible for their acts, omissions, or availability.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any AI-generated content will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, Sumiland & Sub Studio LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Sumiland & Sub Studio LLC, its affiliates, and their officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other users, or the public. On termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive. Data retention after termination is described in our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Arizona.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or through a notice within the Service. Continued use of the Service after an update constitutes acceptance of the revised Terms.
